Federico Roviglio is an M&A lawyer, with significant experience in advising (domestic and international) clients on a wide range of corporate and commercial matters, mainly in the context of (domestic and cross-border) M&A and joint venture transactions (including acquisitions, divestitures, reorganizations, mergers, demergers and other extraordinary transactions).

Federico regularly assists companies, industrial groups, private equity and pension funds, financial institutions, start-up companies and individuals operating in various sectors (including energy and infrastructure, food & beverage, health and medical, information technology and chemicals).

He is experienced in assisting clients both on "buyer side" as well as "on seller side".

In addition, Federico is a lecturer at the training course "Commercial law. The extraordinary transactions" promoted by Wolter Kluwer - IPSOA, dedicated to professionals. Federico focuses his lessons on the drafting of share/quota purchase agreements and the structuring and implementation of joint venture transactions. He supported, with a number of lectures on business law, Junior Achievement Italia (a non-profit organization dedicated to preparing young people for employment and entrepreneurship).

EXPERIENCE

  • He assisted a private equity fund investing in “Made in Italy excellences” in a number of M&A transactions aimed at creating a hub/portfolio of Italian wineries active in the "premium segment".
  • He assisted one of the most important Italian energy companies in the sale of (i) the entire share capital of a subsidiary holding the right to use an on-shore gas pipeline and (ii) a minority shareholding in a company owning and operating a terminal for the regasification of liquefied natural gas (LNG).
  • He assisted a Belgian industrial group in the sale, in favor of a US private equity fund, of an Italian subsidiary owning a warehouse and being a party of long-term contracts with the most important leading companies in the large-scale distribution in Italy.
  • He assisted a group of individuals in the acquisition of a company owner of three hydroelectric power plants and of a real estate compendium.
  • He assisted a private equity fund in the acquisition of the entire share capital of a company (as well as of a number of lines of business from other companies of the sellers’ group) which is the leading provider of modular building leasing solutions in Italy.
  • He assisted a private equity fund in the purchase of a minority shareholding in one of the most important Italian multi-utility companies operating in the main energy sectors.
  • He assisted a private equity fund in various transactions aimed at acquiring the ownership of a number of solar power plants and wind farms in Italy.
  • He structured and implemented a joint venture among companies operating, on a national level, in the multi-brand catering offer in the sector of shopping centers, shopping malls, outlets and retail parks.
