About

Sarah is a Legal Director in our Corporate Group.

She advises on all areas of corporate law and practice, with a particular focus on international M&A, advising global businesses on cross-border transactions and coordinating large multi-jurisdictional due diligence projects. She also regularly advises on disposals, investments, joint ventures, shareholder arrangements and general constitutional and corporate governance matters. Sarah also has significant experience in acting for large corporate groups on international reorganisation projects.

Sarah's work spans many sectors, largely concentrating on Energy & Natural Resources.

EXPERIENCE

    Sarah's recent experience includes advising:

  • EnergyTag, an independent, non-profit initiative seeking to define and build a market for Granular Certificates, on its structure and corporate governance matters
  • National Grid on its exit from the Humber CCUS Project and ongoing Multi-Purpose Interconnector projects
  • Valeura Energy on the acquisition of the upstream oil producing portfolio of Busrakham Oil and Gas from Mubadala Petroleum (Thailand) Holdings (GBP150m) (December 2022)
  • Valeura Energy on the acquisition of the entire issued share capital of KrisEnergy International (Thailand) Holdings Ltd from Krisenergy (Asia) Ltd by Panthera Resources (USD10m) (June 2022)
  • Uniper Energy on its energy joint venture with Javelin Commodities, and its ultimate exit from the JV and transfer of coal trading facility to Itochu (August 2022)
  • GE (as part of a large multi-jurisdictional DLA team) on various corporate reorganisations and disposals, including the sale of its Biopharma division to Danaher (USD21bn) (March 2020) and the spin-off of GE Healthcare (January 2022) and GE Vernova, GE's energy business, to be executed in April 2024
  • Dentsu, leading global marketing and advertising network, on its USB678m acquisition of global omnichannel marketing production company Tag Worldwide Holdings (June 2023)
  • Philip Morris International Inc. on its USD16bn takeover of Swedish Match (November 2022)
  • British Fashion Council nominated NEWGEN emerging designers with start-up investment advice
  • Amnesty International UK on its spin-out of the Human Rights Consortium Scotland.
