About

Nicolas Kalokyris is a Lead Lawyer in the Financial Services department of DLA Piper UK LLP (Belgium). He advises on a wide range of financial regulations in all areas of financial law, including asset management, banking, investment and payment services, as well ESG and sustainable finance, with a particular interest in digital finance (including regulations such as MiFID II, CRD IV /CRR II, CCD, PSD II, SEPA Regulation, Instant Payments Regulation, AIFMD/UCITS, AMLD, CSRD, CS3D, MiCA or DORA). He assists (national and international) financial institutions, including credit institutions, payment institutions, fund managers, investment firms, Fintechs as well as other service providers.

Nicolas assists financial institutions and Fintechs in their complex regulatory-driven strategic projects, including the launch of new (innovative) financial products and the cross-border development of financial services (including on market access rules). Nicolas has developed a specific expertise in Fintech-related assignments, particular in projects related to crypto-assets. On the one hand, Nicolas has assisted several European and non-European issuers in the context of the (global) public offering and distribution of different types of crypto-assets (yield-bearing stablecoins, crypto-assets, NFTs, virtual assets, crypto-derivatives, tokenized financial instruments). Nicolas further regularly assists various types of crypto-assets service providers (crypto exchanges, custodians, liquidity providers, DeFi operators,…) in their strategic projects and innovative projects, including the tokenization of financial instruments or the implementation of DeFi protocols against the evolving regulatory landscape. Finally, Nicolas also represents clients in banking and finance related litigations and assists them with the regulatory aspects of financial transactions.

Nicolas is ranked as an 'Associate to Watch' in Chambers and Partners, FinTech Legal – Belgium, 2025 and as a key lawyer for both EU regulatory: Financial services and Fintech (Legal500, Belgium, 2024).

In addition, Nicolas is assistant lecturer at the Free University of Brussels (Université Libre de Bruxelles) for the seminar of argumentation in banking and financial law. He is also Deputy Editor-in-Chief of the legal magazine Droit du Financement de l'Entreprise (Anthemis). He is a regular author of scientific contributions and a regular speaker at conferences on financial law in Belgium and abroad.

EXPERIENCE

  • Assisting credit institutions and other financial institutions in the implementation of ESG regulations (ESG reporting (CSRD, CS3D, Pillar III disclosures), ESG risk management, double materiality, ESG litigation risk,etc.).
  • Advising a non-European bank in its acquisition of a qualifying holding in a Belgian credit institution.
  • Advising a bank on its liability risks related to the distribution of investment funds' units.
  • Advising banks, payment institutions and Fintechs in the global scaling of their payment services and the launch of new payment products (virtual IBANs, gift cards, open banking services,etc.).
  • Advising a non-EU investment firm in the marketing of structured financial instruments in Belgium.
  • Assisting with the structuring and setting up of investment funds (including private privaks and FIIS) and fund managers, including the preparation and negotiation of the fund legal documentation and the approval procedures with the regulators,
  • Advising on the (cross-border) restructuring of investment funds and their management companies, including fund mergers, mergers between ManCos, outsourcing and delegation of management functions.
  • Assisting (EU and non-EU) issuers (including financial institutions) with the (cross-border) issuance of different types of digital assets (stablecoins, crypto-assets, NFTs, virtual assets, tokenized financial instruments, etc.) in the EU.
  • Advising crypto-assets Fintechs (exchanges, custodians, liquidity providers, DeFi operators,…) and financial institutions to comply with the evolving crypto-assets regulatory landscape, including the VASP regime, MiCA, the Transfer of Funds Regulation and other AML requirements, and for the provision of crypto-asset services in the EU pre- and post-MiCA (including legal qualification of tokens and services provided and advising on licencing requirements, prudential requirements and rules of conduct).
  • Representing an insurance distributor in a dispute with an insurance undertaking.
  • Representing a credit institution in an AML duty of vigilance dispute.
