Brittany Turner advises investment funds, emerging to growth-stage companies, and global investment teams on a wide range of complex transactions. Her practice spans the full lifecycle of private capital matters, including new and follow-on investments, secondary sales and purchases, down rounds, pay-to-plays, public and private bankruptcy matters, strategic transactions, and litigation and regulatory inquiries. Drawing on deep experience in venture capital and growth equity financings, she drives investments from term sheet through closing across early-stage, growth, and pre-initial public offering rounds.

Brittany is experienced in navigating multifaceted matters involving high-profile AI and technology companies, advising clients in fast-moving environments where business, financial, and legal considerations intersect. She also works closely with executive teams on broader issues that arise throughout the life of an investment, including advising on corporate governance and portfolio management matters.

EXPERIENCE

Brittany has advised on numerous strategic transactions and venture capital financings for two venture capital funds owned by a global investment firm focused on artificial intelligence, high-growth technology companies and transformative innovations. She represented the funds in their capacity as:

  • The largest stockholder and debt holder in the strategic negotiation of a restructuring support agreement in a Chapter 11 bankruptcy filing by a flexible workspace provider, along with emergence from the Chapter 11 process as a key stakeholder
  • The largest stockholder and debt holder in a flexible workspace provider’s USD3 billion restructuring, including extension of debt maturities and equitization of certain debt
  • The lead investor in an approximately USD1.5 billion tender offer for equity interests in an AI research and deployment company
  • The 100-percent owner of a global investment management firm, in its more than USD1 billion sale of the firm to a sovereign investment company based in Abu Dhabi
  • A significant shareholder of an Indonesian technology company in a merger with an Indonesian on-demand services platform and subsequent IPO of an Indonesian digital ecosystem combining e-commerce, on-demand services, and financial technology
  • The largest stockholder of an e-commerce company in corporate restructuring and a subsequent merger with a virtual private cloud (VPC)-backed entity
  • The largest stockholder in a pay-to-play investment in the Series C financing of a leading company focusing on liquid biopsy for infectious diseases
  • A stockholder in a USD3 billion direct share repurchase by a global technology company that develops content platforms and applications
  • The co-lead investor in a USD50 million investment in a technology company’s USD150 million metaverse network project
  • A purchaser in a direct cryptocurrency purchase of USD25 million from a blockchain technology company
  • A stakeholder in a Japanese affiliate of a flexible workspace provider's civil rehabilitation proceeding (akin to a US Chapter 11 filing) in Japan
  • The lead investor in a USD518 million primary investment in the USD650 million Series D financing of an AI hardware and software company
  • The co-lead investor in a USD500 million primary investment in the USD1.2 billion Series D financing of a healthcare company offering Medicare Advantage plans and care services
  • The lead investor in a USD150 million primary investment (with up to an additional USD200 million in a secondary tender offer) in the USD150 million Series E financing of a 3D printing technology company

Prior Experience

Before joining DLA Piper, Brittany was a Director at a Japanese multinational investment holding company focused on AI and technology investments. She acted as a senior transaction lawyer supporting two venture capital funds valued at more than USD160 billion with investments in more than 450 portfolio companies. She also oversaw strategic corporate transactions in the AI space. Prior to these roles, Brittany was an Associate at the Tokyo office of a global law firm and at the New York and Hong Kong offices of a US-based multinational law firm.
