DLA Piper advises placement agents on US$1.5 billion PIPE financing for USA Rare Earth, Inc.

DLA Piper advised the placement agents in connection with a US$1.5 billion private investment in public equity (PIPE) transaction for USA Rare Earth, Inc. (USAR). Cantor Fitzgerald & Co. acted as lead placement agent, and Moelis acted as co-placement agent.

The PIPE transaction, together with proposed financing from the US Department of Commerce pursuant to a non-binding letter of intent, would bring the total amount of capital to USAR to US$3.1 billion. The transactions are intended to enable the largest domestic heavy rare earth, critical mineral, metal, and magnet production to support US semiconductor, defense, energy, and other major industries.

Partner Stephen Alicanti led the deal team, with support from Associate Andrew Wolfe (both New York).
