Advising VEHIS Finanse on PLN714.3 million financing to fuel growth

Global law firm DLA Piper has advised VEHIS Finanse sp.z.o.o. on securing financing worth PLN714.3 million (approximately EUR167 million) through an STS securitisation of auto lease receivables. The funding will be used to support VEHIS' continued growth in Central and Eastern Europe; specifically allowing the business to access diversified funding and further scale its operations in a competitive and fast-evolving market.

UniCredit, a leading pan-European commercial bank, acted as sole arranger and senior lender, providing PLN500 million (approximately EUR116 million). Mezzanine financing was provided by a leading international asset manager, and the structure includes a 15-month ramp-up period.

Headquartered in Katowice, Poland, VEHIS is an independent leasing company operating a leading automotive platform.

A multidisciplinary and cross-border team from DLA Piper's UK, Ireland, and Poland offices worked on the transaction led by partners Mark Dwyer, Conor Houlihan (both Finance), Maura Dineen, Bartosz Matusik (both Tax), and counsel Paweł Turek (Finance). They were supported by legal director Oisin Mulvihill, senior associates Klaudia Odolczyk, Paul Eglington, associates Krzysztof Stefanowicz, Maximilian Mitscherlich, Ruby Barlow, Magdalena Gajur, and paralegal Marcin Wojnarowicz.

Paweł Turek, commented: "The transaction reflects continued momentum in the European securitisation market, particularly in Poland, where asset-backed structures are increasingly being used to support growth and optimise balance sheets. The structure of the transaction reflects broader market trends towards more dynamic and adaptable financing frameworks.”

DLA Piper previously advised VEHIS on a PLN1.35 billion (approximately USD372.5 million) securitization transaction in 2025, and on a PLN1.3 billion (approximately EUR275 million) debt financing with Santander Corporate & Investment Bank and Goldman Sachs Asset Management Private Capital, in 2022.
