About

Jorge Timmermann advises Chilean and foreign clients on mergers and acquisitions, capital markets, venture capital, FinTech, corporate governance, and project development, among other matters.

Regarding mergers and acquisitions, his practice includes structuring M&A transactions, drafting and negotiating share purchase and sale agreements and shareholders' agreements, among others, and advising on preventive control procedures of concentration operations before the National Economic Prosecutor's Office.

Jorge advises domestic and foreign companies on financial regulation, especially when applying the Chilean Fintec Law.

He has participated in bond and commercial paper issuances in both registered and unregistered local and international markets, mainly representing the issuers.

He also advises several Venture Capital companies and entrepreneurs on the incorporation and administration of investment funds and startups and on applying for government funds.

His experience includes companies from diverse industrial sectors, such as energy, technology, retail, among others.

EXPERIENCE

  • Howden, an international insurance brokerage company with a presence in more than 55 countries, in the acquisition of 100% of the shares of Ureta y Fernández Corredores de Seguros SpA ("U&F") by Howden Mexico Holdco Limited
  • Uber and Cornershop, as joint counsel, entered into a US$3,000 million agreement to acquire full ownership of Cornershop by acquiring the remaining 47% not owned by Uber. This deal was the second step in Uber's previous acquisition of a controlling interest in Cornershop in 2019 and 2020
  • Giddings Fruit on the sale of 100% of the shares owned by the company’s shareholders to Frutura LLC, a well-known global agricultural and exportation company based in California (USA)
  • AVLA, an insurtech, in compliance with a procedure established by Article 146 of the Corporations Law to approve a related party transaction with AVLA Servicios SpA
  • Corporate Citizenship Chile SpA, a Chilean company that is part of the SLR Group, world leaders in sustainability solutions, in the structuring, negotiating, and executing the purchase and acquisition of 100% of the shares of Gestión Ambiental SpA. This resulted in our client becoming the sole owner and holder of the company's share capital
  • Turismo y Hoteles Navarino SpA negotiated the successful closing of the sale of 50% of the company's shares to a renowned cruise line to form a strategic partnership
  • The Coca Cola Company - Andina - Embonor in the purchase of 100% of Comercializadora Novaverde S.A. - “Guallarauco”
  • Promotora de Café Colombia, in the negotiation, will sell a minority percentage of its shares of Promotora Chilena de Café Colombia S.A. to Copec S.A.
  • Fintual in several regulatory matters related to the operation and business development of its Administradora General de Fondos (Funds Administrator), which the Financial Market Commission regulates
