DLA Piper advises Cegeka in its acquisition of CTG

DLA Piper advised Cegeka, a leading European IT solutions company, in its acquisition of Computer Task Group (CTG), a leader in North America and Western Europe providing digital transformation solutions and services. The definitive agreement includes an acquisition by Cegeka of CGT for USD10.50 per share of common stock in an all-cash transaction, representing an implied equity value of approximately USD170 million.

Cegeka was advised in this international transaction by a cross-border (Belgium, United States and Luxembourg) and multidisciplinary DLA Piper team led by Michaël Heene, partner for Mergers and Acquisitions, and Kristof De Vulder, Technology partner (Brussels), and Jonathan Klein and Brian Wohlberg, Merger and Acquisition partners (US).

The acquisition, which is expected to close later in 2023 following receipt of customary regulatory approvals, aligns with both Cegeka’s and CTG’s long-term strategic vision for growth and ambition. It will enable both players to expand their skills and knowledge, and offer their customers across North America and Europe enhanced value.
