About

Pilar Ay focuses on representing venture capital investors and emerging growth companies through the corporate life cycle across a range of industries, with a particular focus on the technology sector.

Pilar advises emerging growth companies from formation to exit, regularly representing them in their venture capital financings, mergers and acquisitions, restructurings, and general corporate counseling. Pilar's experience includes representing companies in cross-border transactions, with a particular focus on companies and investors based in Latin America seeking to expand to the United States.

She also works with venture funds and corporate innovation units to manage legal and business issues that arise across their portfolio. She has extensive experience working with angel investors, venture capital funds, private equity funds, and other institutional investors in their portfolio investments and transactions.

Venture Capital
  • An ed-tech startup in Chile on its corporate reorganization and international expansion process, establishing its parent company in the US to optimize its structure and facilitate a financing round of US$2 million, including the conversion of preexisting convertible instruments
  • Diio, a Chilean artificial intelligence company, in the international reorganization (flip) of their company, and the negotiation and preparation of a US$2,500,000 Series Seed investment round
  • A platform to empower insurance brokers in the review and negotiation of the term sheet for a potential financing round of an international seed capital investment company led by a venture capital firm to empower the next generation of entrepreneurs
  • Quant4x, a cryptocurrency investment platform, on an international reorganization process to implement its new business model. The advisory included creating a new holding company in Delaware and transferring all of its relevant assets from its vehicle in Canada to this new entity in Delaware
  • A US VC investment fund on the negotiation and preparation of a bridge round with convertible notes in a US-based Agtech, which included the new investment of new capital, the exchange of previously issued securities for convertible notes and the securing of intellectual property as collateral for the notes
  • An ed-tech startup in Chile on its corporate reorganization and international expansion process, establishing its parent company in the U.S. to optimize its structure and facilitate a financing round of US$2 million, including the conversion of preexisting convertible instruments

  • Cencosud Ventures in the strategic acquisition of Vopero, a circular economy fashion startup, strengthening its position in the re-commerce and circular economy market. The advice included providing comprehensive support from due diligence to the successful transaction closing, ensuring adequate protection for our client regarding the risks identified
  • IMCD N.V., a global leader in the distribution of specialty chemicals and ingredients, in structuring, negotiating and signing a share purchase agreement for the acquisition of 100% of the shares of Blumos Group Companies
  • Uber - Cornershop, as joint counsel, in the acquisition of a majority stake in Cornershop by Uber Technologies, Inc. This transaction was awarded Private M&A Deal of the Year by Latin Lawyer 2021
  • Colbún S.A., one of Chile's largest electricity generators, in the acquisition of Efizity Group, a Chilean startup, made up of four companies, dedicated to energy efficiency management and consultancy for regulated and non-regulated customers of the electricity system, with operations in Chile, Peru and Colombia
  • Arch Daily in the sale of its digital architecture platform 'ArchDaily' with operations in Chile, Mexico, USA, Hong Kong and China to the Swiss company, Architonic AG
  • Colegium SpA, a Chilean company that develops technological solutions for kindergartens and schools across 13 countries, on the acquisition of 100% of the assets, brands, and client portfolio of SYR SpA, a company that specializes in communication solutions for parents and teachers through its Kidsbook product
  • A world leader in international logistics transportation services in the structuring, due diligence, negotiation and signing of a share purchase agreement for the acquisition of the shares of a relevant local player with logistics operations in different parts of the world, specialised in the transportation of bulk liquids through specially conditioned flexible tanks, and its subsidiary in Peru. In addition, we advised on the subsequent corporate governance structuring and the adequacy of the new employment contracts for the founders
