About

Matías Zegers focuses his practice on mergers and acquisitions (M&A), corporate governance, and venture capital. He is considered one of the most experienced lawyers in corporate governance and venture capital in Chile and the region, having been consistently recognized by multiple rankings and publications.

In M&A, he has advised clients in multiple purchase and sale operations of public and private companies, both domestic and foreign. He has also participated in initial public offerings (IPOs) for a variety of corporations, the privatization of electric and sanitary companies in Latin America, and in the exits of multiple technology companies.

In venture capital and entrepreneurship matters, he has advised clients in landmark transactions, many of them the first of their kind to be closed in Chile and the region. He also has significant experience in investment funds and designing innovative solutions to fund venture capital, structuring financing products, and applying for public funds, among others. As one of the leading Chilean attorneys in venture capital and entrepreneurship, Matías has been a pioneer in assisting multiple tech and biotech companies in almost all the relevant verticals of the industry, both start-ups and scale-ups.

Matías is a reference at the regional level of good corporate governance practices, advising leading national and regional companies in matters such as manuals and policies, boards and committees, directors' responsibilities, and their evaluation, among others.

Matías has developed an extended academic career. He is a tenured professor at the Law School for the Pontifical Catholic University of Chile and Founder and Executive Chairman of the Corporate Governance Centre at the same institution. He is also a member of the Organisation for Economic Co-operation and Development's (OECD's) Latin American Roundtable in Corporate Governance and several of its task forces, as well as Director of the Carlos Vial Espantoso Foundation.

Matías serves as Managing Partner of DLA Piper Chile, leading the corporate and M&A practice group of the firm. He is also a member of the DLA Piper's Americas Executive Committee.

Mergers & Acquisitions
  • Walgreens Boots Alliance, Inc. in the divestiture of the business of operating pharmacies and health and beauty stores under the trade name Farmacias Ahumada with more than 300 stores throughout the country
  • Giddings Fruit on the sale of 100% of the shares owned by the company's shareholders to Frutura LLC, a well-known global agricultural and exportation company based in California (USA)
  • Carsales.com Ltd in acquiring 50.1% of Autofact, an online platform that complements the car sales process by providing verified information on the vehicle being sold
  • IMCD N.V. in structuring, negotiating, and signing a share purchase agreement to acquire 100% of the shares of Blumos Group Companies
  • Modyo on the sale of 100% of its equity interest to Harris Holdings Chile SpA. The buyer is a subsidiary of Constellation Software Inc. (TSX: CSU)
  • Vestuá in its share acquisition by H&M Fashion AB, one of the largest clothes companies in the fashion industry. In addition, in an aggregate investment of USD 2,105,000 via equity in the UK
  • Uber and Cornershop as joint counsel, in acquiring a majority stake in Cornershop by Uber Technologies, Inc. This deal was awarded as Deal of the Year in Private M&A by Latin Lawyer 2021
  • The Coca-Cola Company - Andina - Embonor (USA - Chile) on the purchase of 100% of Comercializadora Novaverde S.A.- “Guallarauco” (USD 80 million).
Venture Capital 
  • Admetricks SpA in the sale of 100% of the shares owned by the company’s shareholders to Similarweb UK Ltd., an affiliate of the leading data analytics company Similarweb Ltd (NYSE:SMWB)
  • Wild Foods negotiated and prepared a US$25 million Series A investment round led by Glisco Partners, a Mexican private investment organization
