DLA Piper advises Custom Health Holdings on reverse takeover, InnovativeRx acquisition, and TSX listing
DLA Piper advised Custom Health Holdings Inc. (Custom Health) on a series of strategic transactions, including its reverse takeover via plan of arrangement with Queue Ventures Ltd., its acquisition of InnovativeRX US Holdings, Inc.’s (InnovativeRX) operating assets, and commencement of trading on the Toronto Stock Exchange under the symbol CHLT.
InnovativeRx is an existing operational partner that previously utilized Custom Health’s technology and supported patient programs across multiple markets. The acquisition strengthens Custom Health's integrated pharmacy operations, clinical infrastructure, and operational footprint across the United States.
“These transactions advance our strategy to scale a technology-enabled care platform that improves medication adherence, strengthens clinical oversight, and delivers better outcomes for complex patient populations,” said Shane Bishop, Founder and CEO of Custom Health. “DLA Piper’s practical guidance and execution capabilities helped us move efficiently through a pivotal period and positioned us to continue growing across North America.”
“We are grateful for the opportunity to work with Custom Health on this significant milestone in the company’s growth,” said Mitchell Marder, DLA Piper Senior Counsel who co-led the deal. “It has been a privilege to collaborate with Shane Bishop and the Custom Health team over the last six years, and we appreciate the trust they have placed in us as they continue to expand their market presence and healthcare technology platform.”
DLA Piper’s cross-border, multidisciplinary deal team was co-led by Marder (Washington, DC) in the US and Partners Russel Drew and Jamie Mandell (both Toronto) in Canada. The team also included Partners Richard Marks (Washington, DC) and Kevin Fritz (Toronto), as well as Associates Melissa Lucar (Los Angeles), Brendan Smith (Toronto), and Fayzaan Naeem (Palo Alto). The DLA Piper team also counseled on equity and debt financings.
