About

Jacob advises financial institutions, corporate borrowers and issuers on banking and finance transactions and financial services regulation in New Zealand.

His practice covers corporate and institutional lending, acquisition finance, property and development finance, project finance, receivables financing and securitisation. He also advises on financial services regulatory matters, including consumer credit compliance.

Jacob regularly assists domestic and offshore clients on cross-border matters, helping them navigate New Zealand law issues and coordinate multi-jurisdictional work. Jacob regularly acts on matters in the energy sector, including renewable energy financings.

He has also completed secondments to the legal teams of a major New Zealand bank and a leading consumer finance provider, giving him practical insight into in-house priorities and delivery expectations.

EXPERIENCE

  • Advised the trustee and security trustee on a NZD200m multi-tranche asset-backed securities issuance, securitising a pool of auto and equipment loans
  • Advised a state-owned green investment bank on a market first securitisation of residential energy supply contracts. This was a novel structure that combined securitisation and project finance concepts.
  • Advised the agent, security trustee, and syndicate of lenders on a NZD195m green loan to a JV between a large international private equity firm and a property investment group in connection with an industrial property in Auckland, New Zealand.
  • Advised the agent, lender group and noteholders on the New Zealand aspects of a multinational's prepackaged Chapter 11 process, including debtor-in-possession financing and the USD2bn exit financing.
  • Advised a leading European bank on the New Zealand aspects of its green loan facilities to an Australian hospitality fund for the financing of a portfolio of eight hotels across Australia and New Zealand.
  • Advised a major Australian bank as agent and security trustee on the New Zealand aspects of the financing of a leading public transport operator's acquisition of two New Zealand bus businesses, and the subsequent NZD1.6 billion refinancing of those facilities.
  • Advised a build-to-rent developer on facilities for the construction and ongoing operation of four major build-to-rent housing projects.
  • Advised a New Zealand bank on its development and investment term funding for a 758-bed purpose-built student accommodation building in central Auckland.
  • Advised New Zealand's largest grocery retailer on all aspects of its financing arrangements with a club of local and international banks.
  • Advised a financier on several of its solar investments in New Zealand, including residential, commercial, public and agriculture.
  • Advised the programme manager, acting trust manager and a lender of a securitisation programme on the liquidation of the originator, and ongoing management of the warehouse and term trusts throughout the liquidation. This was one of the most significant corporate insolvencies in New Zealand at the time.
