About

Kate is a corporate lawyer, specialising in real estate, real estate debt and credit funds, club deals, co-investments and joint ventures.

She advises on the structuring, creation and operation of onshore and offshore funds and other structured real estate investment vehicles.

She also advises on related matters, such as fund conversions (closed- to open-ended, unauthorised to authorised), carried interest structures, secondary sales and purchases and segregated account mandates. Her clients include PERE fund managers, institutions and sovereign wealth funds. She has experience in fund formation entailing both UK and pan-European investment strategies and UK, European and global fund raisings.

EXPERIENCE

  • Advising US PERE fund manager, Kayne Anderson, on the creation of a joint venture with Kinetic for a new USD1bn lending platform investing in development deals focused on the student accommodation sector in the UK and Europe, structured as a Luxembourg SCSp SICAV-RAIF.
  • Advising Clients of LaSalle GPS on a co-investment structure for the purposes of acquiring designer retail outlets to the value of GBP650m. The structure involved a co-invest structure with a subsidiary joint venture opposite MacArthur Glen, and an asset holding structure that includes a REIT.
  • Advising PERE fund manager, Aegila Capital Management, on a series of programmatic joint ventures between middle eastern investors in respect of the acquisition (with Greycoat) of the Lime Street estate office complex, the acquisition of the Unilever HQ, Rotterdam and the acquisition of Rellingshaus, Essen, Germany.
  • Advising Aviva Capital Partners on its joint venture with Moda Living for the development of 1,000 build to rent units in Birmingham with a GDV of GBP400m.
  • Advising Cornerstone Investors advised by an international investment manager on their GBP100m investment into a Nordic care home fund, which converted from a closed- to an open-ended fund immediately prior to their admission.
