Aziz Diallo is a lawyer specialisied in project finance. He advises sponsors, lenders, and borrowers on complex financing transactions, with a strong focus on infrastructure and energy projects in Africa, France and internationally. His work spans structuring deals, negotiating documentation, and guiding clients through the legal aspects of large-scale projects.

Aziz brings experience in the infrastructure and renewable energy sector, having recently supported banks and development finance institutions on major projects. This included detailed analysis of project agreements and risk allocation to ensure compliance and bankability. His experience in cross-border transactions and familiarity with the requirements of DFIs make him a valuable asset for projects in emerging markets.

EXPERIENCE

Aziz has advised:

  • Advised the mezzanine lender on the financing of the Douai gigafactory (more than EUR1bn in capex) developed by AESC, involving in particular the intervention of the EIB. PFI Award European Industrial Deal of the Year – 2023.
  • Advised Caisse des Dépôts et Consignations on its investment alongside ORTEC Group in a holding company owning SPVs dedicated to electric vehicle charging infrastructure in France.
  • Advised Hy24 Partners on its EUR200m mixed equity and debt investment, through its Clean H2 Infra Fund, in the French company HysetCo.
  • Advised Proxiserve (a leading energy efficiency group) and Vauban Infrastructure Partners on the structured financing of Proxiserve for EUR660m combining a bank tranche and a private placement bond tranche, including a term loan, a capex line for future investments, and a revolving credit facility.
  • Advised FMO on the financing of the development, construction, and operation and maintenance of the WALO solar project in Senegal including a battery storage component, developed by Africa Ren.
  • Advised the lenders on the financing of the project led by Novasteam (sponsored by SUEZ and CDC) for a CSR waste-to-energy plant to supply steam to the Humens group's Novacarb plant.
  • Advised lenders in connection with the financing of the Cercle National des Armées concession agreement entered into by the Ministry of the Armed Forces with the Duval Group.
  • Advised Société Française du Tunnel Routier du Fréjus (SFTRF), as borrower, on the partial refinancing of its existing debt through a hybrid refinancing transaction totaling EUR600m, combining bank and institutional financing.
