Rebecca Williams is an experienced asset finance lawyer and trusted advisor to clients. Rebecca advises banks, specialist asset finance providers, funds, lessees and intermediaries across a range of domestic and cross-border asset finance arrangements.

Rebecca provides transactional, structuring and strategic advice to her clients and is known for delivering commercial and robust solutions, ensuring clients can address their challenges effectively.

Rebecca routinely advises on a variety of equipment finance structures including equipment leases, debt finance (bilateral and syndicated), receivables finance (purchase and security arrangements), block discounting, vendor finance and stocking finance. She also advises clients on the sale and purchase of lease books.

Rebecca's work spans a variety of asset classes including construction equipment, commercial vehicles, software and energy assets, data centre and IT assets and manufacturing, materials handling and rail assets. Rebecca's sector experience includes financial services, energy, manufacturing, transport and data centres.

  • A European bank on the sale of its asset finance portfolio and associated transitional services arrangements.
  • A finance provider in relation to its wholesale funding arrangements involving a GBP30m revolving borrowing base facility.
  • A finance provider in relation to its largest block discounting facility, including a full diligence exercise on the underlying receivables contracts and advice on a broad supporting security package.
  • An international bank in connection with the purchase of receivables arising under energy management agreements (combined heat and power underlying technology) and the subsequent sale of those receivables to a pension fund.
  • A UK bank in relation to its lease financing of a fleet of electric buses for a national bus operator, including associated advice on agency and return arrangements.
  • Various funders in relation to the drafting of standard form document suites including leases, loans and security documents. 
  • Various funders in relation to the "fundability" of agreements forming part of receivables programmes (including block discounting). 
  • An alternative finance provider in relation to its entry into the UK market, including the preparation of a suite of standard form documents and advice on operating procedures and regulatory matters.
