DLA Piper advises on Quantum Circuits’ $550 million strategic combination with D-Wave Quantum
DLA Piper advised Quantum Circuits Inc. (Quantum) on its US$550 million sale to D-Wave Quantum Inc. (D-Wave). The deal consists of US$300 million in D-Wave common stock and US$250 million in cash.
Quantum develops error-corrected superconducting gate-model quantum computing systems, which compliments D-Wave’s role as a leader in quantum computing systems, software, and services. The combination solidifies D-Wave’s position as the world’s first and only dual-platform quantum computing company.
"We’re proud to have advised on this transformative combination, which will significantly expand the practical applications of quantum computing,” said Scott Cowan (Short Hills), the DLA Piper partner who co-led the deal team. “The combined company is positioned to accelerate innovation and shape the future of the industry.”
In addition to Cowan, the DLA Piper team consisted of Jeffrey Lehrer (Reston/Washington, DC), Chair of the firm’s Emerging Growth and Venture Capital practice, and Associate Robert Fuller (Washington, DC).
