As a member of the firm's Investment Funds practice, Matthew advises and represents investment managers and fund sponsors with respect to all aspects of the structuring, establishment, and operation of private investment funds (including those established as REITs) with a focus on real estate private equity funds and joint ventures. Matthew also represents multinational corporations and privately-held real estate funds with a variety of U.S. federal income tax and corporate matters such as domestic and international mergers and acquisitions, dispositions, reorganizations, joint ventures, and general tax planning.

EXPERIENCE

  • Represented a U.S. real estate private equity sponsor in connection with the formation of multiple joint ventures with several operating partners to acquire and develop real estate collectively valued at over $1 billion.
  • Represented a U.S. real estate private equity fund in connection with a $750 million programmatic joint venture to acquire, develop and manage built-to-rent assets throughout the U.S.
  • Represented a U.S. investment management company in connection with the formation of a real estate private equity fund.
  • Represented various types of investors, including sovereign wealth funds, insurance companies, funds of funds, and family offices, in their investments in newly formed and established funds.
  • Represented a Fortune 500 company on the tax implications of the sale of one of its product lines in exchange for cash and equity valued at approximately $6.9 billion.
  • Represented a private equity fund on the tax implications of its acquisition of substantially all of the assets of a global manufacturing company for approximately $550 million.
