Nicholas Luciano focuses his practice in the area of corporate law, with specific concentrations in capital markets, mergers & acquisitions, venture capital and corporate finance. Nicholas represents both issuers and underwriters in both registered and private placement equity and debt securities offerings, including initial public offerings (IPOs), follow-on offerings, at-the-market offerings (ATMs) and high-yield debt offerings. He also advises special purpose acquisition companies (SPAC) and target companies on de-SPAC transactions, as well as public companies on corporate governance matters, preparing SEC filings and securities law compliance.
