Dan Lynch concentrates his practice on initiating, litigating, and resolving complex commercial disputes for public and private sector clients, including pharmaceutical companies, Fortune 500 companies, domestic and international corporations, Community Development Financial Institutions (CDFIs), and individuals in proceedings in federal and state courts around the country.

Dan has also assisted with the representation of domestic corporations and companies in investigations conducted by the US Department of Justice, the Securities and Exchange Commission, the Small Business Administration, as well as other federal and state government and regulatory agencies.

EXPERIENCE

  • Represented a global biopharmaceutical company in an action for alleged breach of an indenture governing a series of more than 700 million publicly traded contingent value rights issued in a strategic merger. Our motion to dismiss the action for lack of federal subject matter jurisdiction because the alleged trustee plaintiff was not appointed in accordance with requirements of the governing indenture was granted. An appeal and cross-appeal are pending in the Second Circuit
  • Represented a global biopharmaceutical company and its directors and officers in several securities actions alleging that disclosures relating to the contingent value rights (CVRs) in the joint merger proxy statement, press releases, and earnings calls were false or misleading because the company allegedly never intended to obtain Food and Drug Administration (FDA) approval in time for the CVR payment contingency to be met. The lead case was dismissed with prejudice, and the Second Circuit affirmed the dismissal of all claims
  • Achieved favorable settlement of claims brought against multi-national reinsurance company
  • Achieved dismissal of claims on summary judgment brought against a New York rehabilitation and nursing center
  • Achieved favorable settlement of claims brought on behalf of our client, a car parts manufacturer based in the Netherlands, against its contractual counterparty
  • Achieved favorable settlement of claims brought by our client, a multi-national cybersecurity software technology, against its contractual counterparty

Pro Bono

Dan takes pride in his wide-ranging and successful pro bono practice. Dan has partnered with the National Veterans Legal Services Program and assisted with cases received through the Criminal Justice Act (CJA) Panel to support clients who cannot afford representation. Dan has also volunteered his time with the New York City Law Department's Public Service Program.
