About

Stacy Osmond is a partner in DLA Piper’s Real Estate practice, with a national focus on data center development and leasing, joint ventures, and institutional real estate investment. She represents developers, operators and investors in structuring and negotiating complex data center transactions, including build-to-suit projects, powered shell arrangements and hyperscale campuses. She regularly advises on all phases of the data center lifecycle, including land acquisition and diligence, joint venture formation and capitalization, development, leasing and disposition.

Stacy also has extensive experience representing institutional investors, developers, REITs and corporate users in joint ventures, real estate investment, leasing, financing, acquisitions and dispositions, and corporate real estate services. She frequently structures programmatic joint ventures and real estate investments for developers and institutional investors, and advises on the real estate aspects of mergers and acquisitions.

In addition, Stacy represents borrowers, financial institutions and investors in secured real estate financings, including CMBS, agency and portfolio transactions. Her work spans a wide range of asset classes and deal structures, with a focus on aligning legal strategy with business objectives.

She is a frequent speaker on data center transactions, joint ventures and commercial leasing, and has presented on topics including hyperscale lease negotiations, energy and real estate law, and default provisions in real estate joint ventures. Stacy also regularly speaks on office and industrial leasing trends, and has been featured in client conferences, CLE webinars and industry panels.

Recent Transactional Experience

Data Center
  • Advised a joint venture with an institutional investor on the structuring and execution of a US$2 billion, multi-building data center project, including complex land structuring considerations and lease negotiations
  • Represent a developer in joint venture negotiations relating to a proposed 1,000+ acre, 1+GW multi-building, multi-phase data center project
  • Represented a joint venture, as landlord, in a powered shell lease of 160 megawatt
  • Represented a national data center operator in the negotiation of a 12 megawatt MSA
  • Represented a customer in the simultaneous negotiation of 10 separate MSA/leases in different facilities for a time sensitive expansion
Financing
  • Represented a publicly traded real estate investment trust (REIT) in connection with commercial mortgage-backed securities (CMBS) acquisition financing in excess of US$400 million
  • Led the real estate team in connection with a financial and corporate restructuring of Pennsylvania Real Estate Investment Trust (now PREIT Realty). Through the restructuring effort, PREIT reduced its total debt by approximately US$835 million through the second lien debt for equity swap, extended its senior facility maturity runway, and received commitments of new money exit revolver financing (in addition to debtor-in-possession financing) from a group of investors
  • Represented an institutional owner of multifamily housing communities in Freddie Mac loans in excess of US$180 million
  • Represented an institutional owner of manufactured housing communities in a Fannie Mae facility in excess of US$275 million
  • Represented a real estate investment fund in connection with a portfolio Fannie Mae transaction relating to more than 20 properties located throughout the United States
Acquisition/Disposition/Development
  • Represent a leading Chicago-based real estate developer and operator in connection with various acquisitions, financings, joint ventures, developments, and dispositions of multi-family assets and medical office buildings throughout the United States, including a $70 million multi-family complex in Chicago suburbs
  • Represented a Chicago-based developer in connection with the ground lease and redevelopment of a historic, landmark building in Chicago, Illinois
  • Represented the buyer/landlord in a four-mall portfolio in a sale/leaseback transaction and capitalization structuring
  • Represented a municipality in connection with the acquisition, sale and redevelopment of a closed enclosed mall
Real Estate Investment
  • Represented an international investment fund in joint ventures for investments in multi-family development and value-add transactions ranging from US$10 million to US$50 million (including portfolio transactions)
  • Represented limited investors in negotiations of operating agreements and side letters with respect to single entity investments and fund investments
  • Represented a Chicago-based developer in the acquisition and financing of a condominium building and related joint venture
  • Represented multiple investment funds in negotiations of operating agreements, subscription agreements and side letters and analyzing related corporate and real property due diligence
Leasing
  • Represented a manufacturer in a complicated ground lease and building lease structure for the build-to-suit construction of a $24M manufacturing facility
  • Represented a renowned co-working company in negotiating significant new leases throughout the United States
  • Represented a landlord in connection with the leasing of prime retail space in a landmark Chicago building
  • Represented the landlords of multiple Chicago office buildings in negotiating new leases and amendments to existing leases
  • Represent Fortune 500 companies in office lease negotiations
  • Represented tenants in a full variety of leasing transactions around the United States, including office, retail, manufacturing and warehouse
  • Advised tenants with respect to sublease arrangements, termination agreements and lease restructuring
