Caroline is an experienced banking and finance lawyer who advises clients on project finance, acquisition finance, cross-border leveraged finance, secured and unsecured corporate finance and trade commodity finance.

Additionally, Caroline has experience of derivative transactions and energy offtake agreements (green, black and bundled).

EXPERIENCE

  • Advising Sprott on a mezzanine loan note facility and equity investment forming part of the circa USD1.1bn consideration payable by Metals Acquisition Corp for the acquisition of the CSA Copper Mine from Glencore, located in Cobar, NSW.
  • Advising Providence Asset Group on the AUD33 million portfolio project financing of its Northern Central Victoria Solar Portfolio, a collection of ten sub-5MW grid-connected community solar farms located in northern and central Victoria.*
  • Advising Bank of China, Commonwealth Bank of Australia and Westpac Banking Corporation on the project financing of the 400MWac stage 1 of the New England Solar Farm owned by UPC\AC Renewables.*
  • Advising the financiers of Tilt Renewables on the AUD616 million project financing for the 270 MW Snowtown 2 Wind Farm in South Australia.*
  • Advising Acciona in relation to a number of black and green offtake arrangements.*
  • Advising the syndicate of financiers in relation to the refinancing of the Queensland New Generation Rolling Stock train project through a certified green loan.*
  • Advising a bank on IBOR transition requirements in relation to their US, Asian, Australian and New Zealand loan portfolios.*

Prior Experience
