Yassi Soleymanlou represents both fund sponsors and investors in connection with the formation, investment in, and operation of private investment funds.
In her fund formation practice, Yassi assists sponsors and asset managers across a range of asset classes, including venture capital, private equity, and real estate. She advises on the drafting and negotiation of fund formation and investment documentation, including limited partnership and operating agreements, private placement memoranda, subscription agreements, and side letters. She also supports clients on regulatory and compliance matters related to fund formation and ongoing fund operations.
In her investor-side representation, Yassi routinely assists investors with the review and negotiation of investment documentation for primary investments and secondary transactions, including limited partnership agreements, side letters, and transfer agreements.
In addition, Yassi maintains an active pro bono practice focused on helping survivors of domestic violence find safety. While in law school, she served as a student attorney with the Post‑Conviction Justice Project, a clinical program dedicated to representing incarcerated individuals seeking post‑conviction relief and second‑chance opportunities.
