He also advises on matters before the SEC and with internal investigations.

Richard defends companies throughout the technology and life sciences sectors as well as a wide variety of other industries in lawsuits arising from accounting restatements, failure to meet public projections, product recalls, executive compensation, option grants and mergers and acquisitions.

  • Defended a medical device manufacturer in a securities class action arising out of missed forecasts relating to an innovative heart valve replacement procedure.
  • Defended a cloud-based SaaS shipping and logistics company and its directors and officers in a securities class action, derivative litigation, and SEC investigation arising out of allegations that it misstated its relationship with the most significant supplier and customer.
  • Defended a semiconductor testing company in a securities class action alleging claims of improper revenue recognition.
  • Defended a director and investment company in a securities class action and bondholder lawsuit arising out of a failure and the bankruptcy of a telecommunications company.
  • Defended a global medical supply company and its officers and directors in a securities class action arising from its recall of a multipurpose contact lens solution.
  • Defended the developer of cardiac health equipment and supplies and its officers and directors in a securities class action, derivative litigation and SEC investigation arising out of allegations that the company promoted its products for "off-label" use.
  • Defended a former senior executive of a food manufacturing company in various civil securities matters and in the SEC and US Department of Justice investigations related to the company's restatement of financial results.
  • Defended a director of a contact lens manufacturer in a securities class action and derivative litigation arising out of numerous issues the company faced over a two-year period during and following its merger with a competitor.
  • Defended a former CFO of a cybersecurity and network management company in an SEC investigation and various securities cases regarding the company's past practices relating to option grants.
  • Represented multiple companies in "earn-out" disputes and litigation related to mergers, licensing agreements and other contracts.
  • Defended multiple class action and mass action lawsuits alleging software negligence in the design and installation of point-of-sale software at gas stations and associated convenience stores throughout the United States.
