Issue 2: Syndicated loans in Russia: towards unification
In December 2020, a number of amendments to the Federal Law on Syndicated Loans (Syndicated Loan Law) and the Civil Code of the Russian Federation with respect to provisions on pledge management agreements and some other laws with respect to provisions related to syndicated lending (Amendments) were adopted and published. Most of the Amendments entered into force on 21 June 2021.
Now it is time to draw the first conclusions regarding the practical implications of the Amendments for the Russian syndicated loan market.
Overall, the Amendments were a logical continuation of the trend to make Russian laws more attractive from the perspective of syndicated lending regulation.
This review briefly discusses (i) the Amendments largely designed to further harmonise Russian syndicated lending regulations with international practices reflected in the LMA model documentation, and (ii) the remaining differences in approaches.
