DLA Piper advises Heidelberger Druckmaschinen AG on the sale of its Belgian production site for printing chemicals to DC DruckChemie GmbH
DLA Piper has advised Heidelberger Druckmaschinen AG ("Heidelberg") on the sale of its Belgian production site for printing chemicals to DC DruckChemie GmbH (DC Druck-Chemie), a subsidiary of Langley Holdings PL, UK, as part of its planned focusing on core activities and portfolio adjustments.
Langley Holdings is an international engineering group that supplies capital goods to a wide range of industries worldwide, including the printing industry. The sale comprises the companies BluePrint Products NV and Hi-Tech Chemicals BV in Kruibeke, Belgium. The location develops and manufactures high-quality flexographic and offset printing chemicals, primarily for the packaging and commercial markets, which will continue to be offered by Heidelberg as part of its overall consumables strategy.
With the sale, the location and a total of around 40 employees will be transferred to DC DruckChemie. The sale is effective as of today.
The DLA Piper was jointly led by partner Dr Benjamin Parameswaran and counsel Dr Isaschar Nicolaysen (both corporate/M&A, Hamburg). The core team also included partners Semin O (Antitrust), Dr Burkhard Führmeyer (IPT, both Frankfurt) and Dr Thilo von Bodungen, counsels Dr Susanne Weckbach (both Commercial, Munich) and Sergej Bräuer (Antitrust, Frankfurt), senior associate Dr Diedrich Schröder (Corporate/M&A, Hamburg) as well as associate Alexander Rösch (Antitrust, Frankfurt). The team was supported by Antwerp-based Corporate partner Koen Selleslags and senior associate Fauve Vander Schelden (both Corporate).
The in-house team at Heidelberger Druckmaschinen consisted of Sascha Donat (Head of M&A) and Dr Leslie Melters (general counsel).
