DLA Piper Canada advised Adventus Mining on merger with Luminex to create growth-focused copper-gold company in Ecuador
On November 21, Adventus Mining Corporation ("Adventus") (TSXV: ADZN) and Luminex Resources Corp. (“Luminex”) (TSXV: LR) announced that they have entered into an arrangement agreement in which Adventus will acquire all of the issued and outstanding common shares of Luminex. Adventus and Luminex also announced a concurrent financing of up to US$20 million with lead investments from Ross Beaty, Altius Minerals and Wheaton Precious Metals.
The transaction will create a combined company that intends to lead the advancement of the El Domo-Curipamba copper-gold project towards production and consolidates a large and prospective gold-copper development and exploration portfolio in Ecuador totalling over 135,000 hectares and including the preliminary economic assessment staged Condor Gold Project.
Adventus is an Ecuador-focused copper-gold exploration and development company and majority owner of the 215 sq. km Curipamba copper-gold project. Luminex is a Vancouver, Canada based precious and base metals exploration and development company focused on gold and copper projects in Ecuador.
