Dylan A.S. Bal is counsel in the Corporate group. He advises on cross-border commercial, corporate, and transactional matters, with experience supporting international infrastructure investments, commercial contracts, due diligence, and stakeholder management across Canada, the United States, and the United Kingdom.

Dylan's practice is strengthened by significant commercial and civil litigation experience in Ontario and New York, including complex contract, fraud, shareholder, construction, and Civil RICO matters. This disputes background allows him to identify risk early, negotiate practical protections, and help clients move transactions forward with a clear view of enforcement and downside risk exposure.

Dylan is admitted in Ontario and New York and brings a relationship-driven, commercially focused approach to clients operating in sophisticated domestic and international markets.

EXPERIENCE

  • Supported a European specialist infrastructure investment manager on cross-border investment, commercial contracting, and asset-management matters across utilities, energy transition, renewables, digital infrastructure, social infrastructure, and transportation. Assisted with NDA negotiation, contract review, due diligence analysis and coordination with international counterparties across European and North American markets
  • Acted for the respondent in a precedent-setting Supreme Court of Canada commercial contracts appeal that clarified the law governing exclusion clauses, statutory implied terms, and contractual risk allocation in sale-of-goods transactions
  • Developed litigation strategy in a multi-jurisdictional US$28 million fraud and breach of contract claim in New York involving US Civil RICO issues and forensic document analysis
  • Supported corporate transactional work in the United Kingdom, including due diligence, regulatory approvals, land acquisition, and contract drafting for major real estate, energy and portfolio matters
  • Assisted on structured finance and banking matters, including drafting and reviewing corporate resolutions, loan and security documentation, asset-backed contracts and offering and disclosure materials
  • Acted in a significant Ontario Court of Appeal practice and procedure matter that clarified appellate jurisdiction and the finality of orders dismissing summary judgment motions based on limitation defences, later selected by Thomson Reuters for Carswell's Practice Cases and Litigator
  • Led litigation strategy in a complex New York breach of contract and fraud dispute involving a high-profile recording artist and performer, identifying tax, bankruptcy, matrimonial and cross-border issues that shaped the client's litigation and enforcement strategy
  • Managed commercial fraud litigation for a national restaurant chain against a Schedule I bank, contributing to strategic resolution
  • Acted on complex corporate shareholder, oppression, fraud, construction, and contractual disputes involving multiple corporate entities and limitation issues
  • Acted on an international cryptocurrency fraud matter involving a Schedule I bank
  • Supported a US federal employment discrimination matter involving a national tobacco company, including research, court appearances, case conferences, mediation preparation, and witness preparation
  • Appeared before Ontario and New York courts (all levels) in contested civil and commercial proceedings, motions, conferences, mediations, and settlement negotiations

Prior Experience

Before joining DLA Piper, Dylan served remotely as junior counsel to a European specialist infrastructure investment manager, supporting cross-border investment, commercial contracting, due diligence and asset-management matters across core infrastructure sectors. He also practised civil and commercial litigation in Ontario and New York, with experience in complex contract, fraud, shareholder, construction, banking, appellate and Civil RICO-related disputes.

Dylan's earlier experience includes corporate training with a UK/Scottish law firm, London placements with global law firms across banking and finance, structured finance, technology, media and communications, and an internship with a New York District Attorney's Office.
