About

Rob Donoghue focuses his practice on class actions and complex commercial litigation, with an emphasis on M&A and insurance litigation. Rob represents M&A transaction liability insurers in disputes arising under representations and warranties insurance policies, including managing, quantifying, and resolving pre-dispute insurance claims for alleged losses arising out of M&A transactions. In addition, Rob regularly litigates non-insurance M&A, fiduciary duty, breach of contract, fraud, and securities law claims for public and private companies and their management. Rob also has experience representing companies and individuals in white-collar investigations and regulatory enforcement actions involving the SEC, FINRA, and other agencies.

EXPERIENCE

  • Represented insurers in representations and warranties insurance claims premised on allegations that sellers breached representations in acquisition agreements
  • Represented transacting parties in M&A disputes, including fiduciary duty claims and post-closing purchase price adjustments
  • Defended a Fortune Global 500 insurance company in a class action alleging breach of contract, fraud, and unfair competition related to cost of insurance charges
  • Secured dismissal of breach of contract, consumer protection, and RICO claims for insurers in sales practices litigation
  • Represented companies in SEC enforcement actions concerning accounting and financial reporting matters

Before joining DLA Piper, Rob practiced at another AmLaw 50 international law firm in Boston. Rob also clerked for the Honorable Landya B. McCafferty of the United States District Court for the District of New Hampshire.
