Caleb's practice focuses on corporate litigation in Delaware's Court of Chancery, as well as complex commercial litigation in Delaware Superior Court and the Federal District Court for the District of Delaware.

Caleb frequently litigates cases involving private and public companies in connection with mergers and acquisitions, breaches of fiduciary duties, earnout disputes, advancement and indemnification, fraud, non-competes, and breach of contract. Caleb has also represented various Delaware government entities in court. Whether preparing defenses or managing the expectations of opposing counsel, Caleb utilizes his sharp attention to detail to develop creative solutions for his clients.

Caleb began his practice following his clerkship with the Honorable Abigail LeGrow at the Delaware Superior Court, Complex Commercial Litigation Division. As a law clerk, Caleb learned how Delaware judges evaluate written and oral advocacy. He draws from this experience to help clients navigate complex litigation in Delaware courts.

EXPERIENCE

  • Secured judgment on the pleadings defeating claims brought by investor that claimed it was entitled to anti-dilution warrants following a special purpose acquisition companies (SPAC) warrant exercise
  • Represented special committee of directors tasked with assessing Caremark claims against officers of the company
  • Represented energy sector general partner in litigation against limited partners in connection with a unit-for-unit merger
  • Obtained release of escrow funds and indemnification payment from sellers of a company following a post-closing adjustment in buyer's favor
  • Represented insurer in arbitration dispute and litigation regarding reps and warranties coverage in connection with acquisition agreement
  • Secured earnout payment for founders of a company as a result of successfully litigating breach of contract claims against acquirer
