Jorge Rahona is a Corporate and M&A Associate at DLA Piper’s Madrid office, where he plays an active role in a wide range of transactional matters. He is regularly involved in domestic and cross-border mergers and acquisitions, with a particular focus on the due diligence phase, the structuring of transactions, and the execution and closing processes. His work includes reviewing and negotiating key transaction documents, coordinating with various stakeholders, and ensuring compliance with legal and regulatory requirements throughout the deal lifecycle.

In addition to his transactional experience, Jorge has developed solid expertise in corporate reorganizations and structural modifications, including mergers, spin-offs, and cross-border transformations. He also advises on corporate governance matters and regularly assists clients with company secretarial functions, such as drafting board and shareholder resolutions, maintaining corporate records, and ensuring compliance with ongoing legal obligations.

  • Stylitics Holdings, a company specialized in AI retail, on the acquisition of the Spanish company Wide Eyes Technologies, a local leader on AI solutions for the fashion sector.
  • LabAnalysis on the acquisition of a majority stake in the Spanish company Bionos Biotech. We also advised on the subsequent subscription of a shareholders agreement and management agreement with the seller.
  • Boldyn on their acquisition of Cellnex’s private networks business unit that specializes in connectivity solutions for private networks in industrial complexes and environments.
  • Besant Capital, an ultra-luxury hotel, residences and services development firm, on the acquisition of the Zurich Building located in Madrid. We advised on all stages of the transaction, including the preparation and negotiation of the acquisition agreement, the transaction structure, investment and shareholders' agreement, services agreements with the project managers, as well as the financing agreement and security package.
  • Team.blue on the acquisition of a majority stake in the share capital of Metricool Software.
  • A European private equity firm on its potential acquisition of HT Medica, a leading Spanish provider of radiology and diagnostic imaging services.
  • Keywords Studios, a global provider of fully integrated creative and technology-enabled solutions to the video games and entertainment industries, on its acquisition by EQT Group for GBP2.1 billion.
  • Efor Group on the acquisition of PharmEng Group, holding based in Canada, the global provider of technical services and solutions to the pharmaceutical, biotechnology, and healthcare industries, in particular on the acquisition of 100% of the share capital of the Spanish entity PharmEng Technology.
