Steven M. Rosato is an experienced and accomplished New York-based litigator who specializes in federal securities class action defense, stockholder disputes, and complex business litigation arising out of mergers and acquisitions, financing transactions, and other high-stakes business-to-business disputes.  Known for his ability to quickly and efficiently dissect and distill the most complicated factual and legal issues, Steve has achieved significant victories for a wide array of clients in federal and state courts across the country.  Recent wins include the complete dismissal, affirmed on appeal to the US Court of Appeals for the Second Circuit, of a multibillion-dollar putative securities class action against a Fortune 100 biopharmaceutical company, and the complete dismissal, affirmed on appeal to the Delaware Supreme Court, of a putative stockholder class action challenging proxy statement disclosures of a leading global lifestyle and consumer goods company.

RECENT EXPERIENCE

Steve’s recent experience includes the following:

  • Representing a Fortune 100 global biopharmaceutical company in several litigations arising out of contingent value rights (“CVRs”) issued in connection with the company’s acquisition of another major biopharmaceutical company.  To date, Steve has achieved complete dismissal of a consolidated federal securities class action in the US District Court for the Southern District of New York, which was recently affirmed on appeal by the US Court of Appeals for the Second Circuit.  Steve also won complete dismissal of related putative securities class actions asserting claims under the Securities Act of 1933 in New York and New Jersey state court.  Steve also was instrumental in achieving dismissal of related litigation in the Southern District of New York alleging breach of the underlying contract governing the CVRs (currently on appeal to the Second Circuit), and continues to represent the client in follow-on litigation stemming from that dismissal 
  • Representing a publicly traded renewable energy company focused on hydroelectric power generation and delivery in a consolidated federal securities class action in the US District Court for the Northern District of New York and in related stockholder derivative litigation in Delaware
  • Representing a cutting-edge fintech company in a putative federal securities class action in the US District Court for the District of New Jersey, as well as in related state-court litigation initiated by a significant investor in a publicly traded business partner of the company 
  • Representing underwriters of a secondary public offering in a putative federal securities class action in the US District Court for the Eastern District of New York
  • Represented a global lifestyle and consumer goods company in a putative stockholder class action in the Delaware Court of Chancery alleging material misstatements in proxy statement disclosures based on a recently enacted statute.  After winning summary judgment dismissing the case in its entirety in the trial court, Steve led the briefing on the subsequent appeal to the Delaware Supreme Court, which unanimously affirmed 
  • Representing a publicly traded social media and technology company in arbitration and litigations in New York, Delaware, and Florida arising out of a de-SPAC transaction that closed in March 2024.  Most recently, Steve achieved complete victory for the client in a confidential arbitration involving the company’s chief adversary in the pending litigations  
  • Represented a publicly traded biopharmaceutical company in litigation in the Delaware Court of Chancery seeking an order of specific performance requiring buyer to close a contemplated merger transaction.  Promptly after suit was filed, the buyer agreed to close on the same terms contemplated under the merger agreement  
  • Representing a global IT services company in litigation pending in the US District Court for the Eastern District of Texas arising out of dispute concerning plaintiff’s entitlement to multimillion-dollar earnout payment under a merger agreement
  • Representing a publicly traded banking institution in sprawling federal and state litigations arising out of a $100 million criminal check kiting, bank fraud, and money laundering scheme perpetrated by a former bank customer
  • Representing a global IT services company in litigation against a Fortune 100 telecommunications company pending in the US District Court for the Southern District of New York arising out of the termination of a significant IT services contract

Pro Bono

Steve has successfully managed a variety of pro bono matters during his tenure at the firm. He has represented an LGBT community center in a litigation alleging violations of the center's rights under state anti-discrimination law, ultimately winning a preliminary injunction and reaching a confidential monetary settlement. More recently, he obtained a discharge upgrade for a United States Marine who served his country at the height of the Iraq War, an order granting asylum to an El Salvadoran immigrant who fled persecution on the basis of sexual orientation, and an order finding that a child support order had been willfully violated on behalf of an indigent mother.
