Annette Moreno focuses her practice on a broad variety of transactions, among them commercial lending, private equity and financial transactions. Annette has experience representing private and public borrowers, private equity sponsors and commercial lenders in a broad range of corporate transactions, including merger and acquisition financing, first lien and second-lien and subordinated financings, leveraged buyouts, syndicated credit facilities, mezzanine financing, direct lending, asset based lending, subscription-backed credit facilities and debt restructurings.

  • Represent biopharmaceutical company in its acquisition by a global pharmaceutical company
  • Axsome Therapeutics, Inc. (NASDAQ: AXSM) in connection with its $350 million term loan facility
  • IG Design Group PLC, an England-based designer and manufacturer of greetings cards, gift wrap, Christmas crackers, gift bags, partywares and other celebration products, in connection with its US$125 million senior secured ABL credit facility with HSBC Holdings PLC and NatWest Group PLC. The deal was structured to provide an innovative global financing solution that balances bank security while limiting the overall administrative burden of the company.
  • The Hagerty Group, LLC with amendments to its senior secured revolving credit facility with JPMorgan Chase Bank, N.A. and with its reinsurance subsidiary’s US$25 million unsecured term loan credit facility from State Farm Mutual Automobile Insurance Company.
  • Representation of a private health care provider in connection with an acquisition financing.
  • Kraken Oil and Gas Partners, LLC in connection with a reserve based credit facility.
