We advise global investment banks, domestic and foreign issuers, and large institutional investors on a range of transactions. These include IPOs, follow-on and confidentially marketed offerings, at-the-market offerings, alternative financings (such as PIPEs and registered directs) and offerings exempt from SEC registration, including under Rule 144A and Regulation S.  

We guide issuers on IPO readiness processes – corporate group reorganizations, amendments of corporate governance arrangements and adoption of equity compensation arrangements, among others. We work with companies’ outside auditors on matters raised by securities regulators. And we help you understand the eligibility requirements, listing rules and review processes that form part of these transactions.
