Daan Kalter advises national and international clients on a broad range of restructuring, corporate and insolvency related matters. He regularly acts for companies, boards, shareholders, lenders and creditors in distressed and insolvency scenarios, with a particular focus on cross-border restructurings, WHOA proceedings (the Dutch US Chapter 11 / UK Restructuring Plan), distressed M&A transactions and corporate governance issues arising in financially distressed situations.

Drawing on his background in corporate and insolvency law, Daan is particularly experienced in advising on complex matters at the intersection of restructuring, finance and corporate governance. He frequently advises on director and shareholder liability risks, security enforcement, standstill arrangements, claw-back and set-off risks, strategic insolvency / bankruptcy scenarios and solvent wind-down / (turbo)liquidation processes.

EXPERIENCE

  • Advising The Kingfish Company N.V. on its comprehensive restructuring, including a private placement, conversion of outstanding convertible debt, amendments to senior financing arrangements and a subsequent repair offering.
  • Advising the lenders in the complex international restructuring of Kwantum and Leen Bakker.
  • Advising a consortium of investors (including Invest-NL and Oost NL) on the (debt and equity) restructuring and governance dispute involving semiconductor company LioniX International.
  • Advising Invest International on a USD 60 million term loan to Nexperia, particularly regarding Dutch corporate governance issues arising from ongoing Enterprise Chamber proceedings, and the impact of government intervention, national security considerations and geopolitical developments.
  • Advising the interim board of the ProLease automotive and leasing group on a complex restructuring involving governance issues, lender negotiations, enforcement considerations and a cross-border M&A sale process.
  • Advising the Enterprise Chamber-appointed interim board of the Volharding shipping group on complex restructuring and corporate governance matters arising in a distressed environment, including emergency financing, shareholder deadlock situations and balancing competing creditor and shareholder interests.
  • Advising TriplePoint Capital on the complex cross-border restructuring and restart-out-of-bankruptcy of VanMoof.
  • Advising JD Sports on the restructurings and bankruptcies of Aktiesport, Perry Sport and the Dutch Sprinter stores.
