About

Andrew is a litigator and dispute resolution lawyer with a practice focussed strongly in the M&A and private capital workstreams within the international litigation group.

He has a track record of over 25 years representing private equity funds and large corporate clients on cross-border post-transaction litigation and other forms of dispute resolution following M&A activity. He has particular experience acting for sponsors/fund managers/LPs in relation to international shareholder, joint venture and partnership disputes.

Andrew leads on the private capital disputes working group, and has acted extensively in the Private Equity Real Estate sector and wider PE market, supporting clients to maximise investor returns while managing difficult relationships or challenging market circumstances. He was memorably described by one PE client as "a long-term trusted adviser: an iron fist in a velvet glove".

EXPERIENCE

  • Acting for a private equity client and its directors on a highly involved and complex GBP100m shareholder dispute involving claims of unfair prejudice, breach of fiduciary duty and fraud.
  • Advising PERE client on a several substantial joint venture disputes on a global basis, involving court proceedings in multiple jurisdictions, and tactical/strategic input to achieve optimal financial outcomes.
  • Representing a global Real Estate management firm in a substantial dispute with its joint venture partner.
  • Acting for a leading private equity and investment manager for over 15 years on multiple post-transaction claims for breach of warranty/covenant, earn-out disputes, misrepresentation and fraud.
  • Representing a US-based shareholder in parallel court and arbitration proceedings in the UK and US in connection with an acrimonious company law dispute.
  • Advising on and enforcement of corporate restrictive covenants.
