Nada specialises in private and public mergers and acquisitions (M&A), corporate restructurings and general corporate law, including advice on corporate governance, structuring and establishment of share incentive schemes, and broad-based black economic empowerment (BEE) transactions. She also advises on financial regulatory and consumer protection matters, as well as general commercial law matters.

EXPERIENCE

  • Advising C Cell Holdings on company law and corporate governance aspects of its listing on the Johannesburg Stock Exchange, which was accompanied by a secondary offer by The Pre-Paid Company of ordinary shares in Cell C by way of private placement.
  • Advising Barloworld on the registration of the transaction flowing from the c.USD1 billion cash offer from a consortium including the Barloworld CEO and Saudi Arabian-based Zahid Group to acquire all of the issued shares in Barloworld (save for certain excluded shares), by way of scheme of arrangement or standby general offer, as a major BEE transaction with the BEE Commission.
  • Advising Greywell Ventures on the establishment of an employee share scheme pursuant to its acquisition of Tamodi.
  • Advising Brait Investment Holdings Limited on its invitation to exchangeable bondholders to tender bonds for repurchase for an aggregate repurchase price of ZAR400 million.
  • First National Bank of Eswatini on its listing, by introduction, on the Eswatini Stock Exchange as well as advising its sole shareholder, FirstRand EMA Holdings Proprietary, on the private placement of 20% of the shares in First National Bank of Eswatini with institutional investors.
  • Advising EOH Holdings in respect of a R600m capital raise, including a R500m rights issue.
  • Advising Community Investment Ventures Holdings on the proposed acquisition by the Vodacom Group of a 30% indirect stake in Vumatel and Dark Fibre Africa, in a deal valued at approximately R13.2bn.
  • Advising the Banking Association of South Africa and its member banks regarding commercial arrangements regarding tier 1 cash management.
  • Advising OUTsurance Holdings Ltd on its executive share incentive schemes.
  • Advising the FirstRand Ltd group on its BEE broad-based ownership schemes.
  • Advising a major South African bank in respect of a potential bid to acquire a mid-tier South African bank.
  • Advising a major South African bank in respect of a potential bid to acquire a short-term insurance business.
  • Advising AFGRI Holdings (Pty) Ltd in its successful bid to acquire the entire stake (99.81%) of the National Bank of Greece S.A. in its subsidiary, the South African Bank of Athens.
