About

Stéphanie Sá Silva is a partner in the Lisbon office and a member of the corporate and finance team. She focuses her practice on Corporate M&A and transport sector regulation.

With nearly 20 years of experience, Stéphanie has advised national and international clients on a broad range of cross-border and domestic corporate transactions and commercial matters, including mergers and acquisitions, private equity transactions, investment projects, and commercial agreements across multiple industries.

She has also provided comprehensive legal counsel on restructurings and financing transactions, as well as advised companies throughout privatisation processes initiated by the Portuguese State. Her expertise further extends to corporate governance, shareholders’ rights, and the negotiation of shareholders’ agreements.

Before joining DLA Piper, Stéphanie served as General Counsel of TAP Air Portugal, the Portuguese flag carrier and a leading international airline. She previously practised for many years at top-tier law firms in Portugal, primarily in Corporate M&A.

  • Advising a European private equity firm on the sale of the shares representing 100% of the share capital of a Portuguese technology company providing digital identity solutions, for an enterprise value of approximately EUR 320m.
  • Advising a global industrial and medical gas company on the acquisition of the shares representing 100% of the share capital of a company dedicated to the production and distribution of gas products, both in the industrial and medical sectors.
  • Advising a leading Latin American investment bank on the financing of two Portuguese venture capital funds for the acquisition of shareholdings in companies based in Curaçao and Spain.
  • Advising a Spanish company specializing in dental solutions in connection with the acquisition of the business of a leading Portuguese distributor of dental implants and biomaterials.
  • Advising a global leader in private aviation on a corporate restructuring, from both a Corporate M&A and regulatory perspective, ensuring compliance with applicable regulatory requirements before the Portuguese civil aviation authority (ANAC).
  • Advising a leading services provider to the general aviation industry on the acquisition of the quotas representing 100% of the share capital of a ground-handling company and the shares representing 100% of the share capital of an inflight catering company.
  • Advising a private investment fund on the acquisition of assets in significant Portuguese motorway network.
  • Advising a leading international hospitality group on the acquisition of a hotel and resort business in Brazil and Portugal.
