DLA Piper advises Quilla Resources on US$25 million Elemental Royalty investment package
DLA Piper advised mining company Quilla Resources Inc. (Quilla) on a US$25 million investment package from Elemental Royalty Corporation (Elemental) and its subsidiary Minera Pampa de Cobre S.A.C. (MPDC). The transaction expands Elemental’s royalty interest to the Chapi Copper Project (Chapi) in Peru and supports Quilla’s next phase of growth.
Quilla is a private Canadian company that owns MPDC and the associated Chapi license areas. Chapi is located in the Southern Peru porphyry copper belt across the Moquegua and Arequipa Departments. Quilla is expected to use the transaction proceeds to accelerate exploration and advance permitting and engineering work to expand Chapi.
The transaction included an equity investment in Quilla and the acquisition by EMX Royalty Corporation, a wholly-owned subsidiary of Elemental, of an additional perpetual, uncapped 1.0 percent net smelter return royalty over MPDC’s Pampa Negra and Candelaria concessions. Together with Elemental’s existing royalty position at Chapi, the new royalty increases Elemental’s royalty interest to a total of 3.0 percent NSR over Pampa Negra and Candelaria until July 1, 2034. As part of the transaction package, Elemental subscribed for shares representing approximately 9 percent of Quilla.
The DLA Piper deal team representing Quilla on the equity raise was led by Counsel Don Collie (Vancouver) and included Partner Jamie Mandell and Associates Rownock Zamani and Nina Jabbari (all Toronto). Partner Oliver Wright (Washington, DC) led the team advising Quilla and MPDC on matters related to the royalty, with support from Associates Lachlan Nichols and Alex Becker (both New York).
