A Delaware native, Dan Klusman is an Associate in DLA's Business and Commercial Litigation Group. Dan's practice focuses on complex business and commercial litigation, and he has significant experience representing public and private companies including their officers and boards of directors in the Delaware Court of Chancery as well as other state and federal courts in merger and acquisition-related litigation, stockholder derivative suits, securities litigation, fiduciary duty actions, valuation disputes, books and records actions and other statutory proceedings under the Delaware General Corporation Law. Dan has also supported partners and senior attorneys in counseling companies and their boards of directors in connection with best practices in contemplated transaction and corporate governance contexts.

After graduating from Delaware Law School, Dan served as law clerk for the Honorable Mark H. Conner of the Superior Court of the State of Delaware where he developed intimate knowledge of how judges consider legal issues as well as the importance of effective writing and oral advocacy.

  • Obtained US$36 million jury verdict for merchant banker in Superior Court of Delaware for advisory fees in connection with energy company's acquisition of an entity in control of a major oil pipeline valued at over a billion dollars
  • Advised special purpose acquisition company in the successful closing of its business combination with medical device company
  • Advised global pharmaceutical company focused on ophthalmic solutions in its acquisition by a diversified biopharmaceutical company in a transaction valued at approximately US$381 million in up front consideration plus contingent value rights
  • Secured an outright victory for stockholder of clinical stage immuno-oncology company following trial before the Delaware Court of Chancery in action for inspection of the company's books and records
  • Secured a victory for the founders of an auto retailer when the Delaware Court of Chancery granted the founders' motion to dismiss an alleged class action challenging provisions of the company's charter granting super voting rights to common shares held by the founders
  • Secured a victory before the Delaware Supreme Court where the Court affirmed a post-trial opinion resolving a governance dispute between the two primary equity owners of a firearms company
  • Represented co-founder of a lip balm and skincare products company bringing an action against fellow co-founder for breach of his fiduciary duties, breach of contract and related accounting issues and that secured a post-trial decision from the Delaware Court of Chancery finding in favor of our client
