  • Advising Jabreen Investment Ventures on a debt‑to‑equity capitalisation involving the conversion of shareholders’ loans in an aggregate amount of OMR 50,000,000 into share capital.
  • Advising National Finance Company on its financing and leasing activities, including securing loans from local and international lenders and advising on key financing and security documents such as Facility and Loan Agreements, Term Sheets, Accession Agreements, and Commercial Mortgages.
  • Leading rotorcraft manufacturer on its exit strategy and the disposal of its shares in an Omani joint venture to the Government of the Sultanate of Oman.
  • Advising a private equity firm in connection with a competitive bid process for the sale of a stake in a listed entity in the Sultanate of Oman. The transaction required extensive interaction with the Omani Financial Services Authority (FSA) and close coordination with multiple stakeholders. The scope included advising on regulatory and capital markets considerations, and preparing and negotiating the transaction agreement.
  • Advising National Life and General Insurance Company SAOG (“NLG”) on its full acquisition of Royal & Sun Alliance Insurance Middle East BSC (“RSA Middle East”).
  • Advising international ride-hailing platform operator on its 90% acquisition of an Omani ride-hailing platform operator.
  • Advising merger of two Omani based listed investments Companies. i.e Oman Investment & Finance Company SAOG (client) Gulf Investment Services Holding Company SAOG (opponent party).
  • Advising National Finance Company SAOG on its private placemen issue of 18,200,000 Perpetual Subordinated Bonds.
