Prasad Taksal is a highly experienced transactional lawyer with over 20 years of Canadian and international experience assisting clients in planning, structuring, negotiating and successfully implementing business and commercial transactions, and achieving and maintaining regulatory compliance. Prasad’s practice is focused on mergers and acquisitions, private equity and strategic investments and corporate and commercial law advisory. Prasad is also a key member of the firm’s Aviation Practice Group.

Prasad’ deep transactional experience spans a wide range of industries, including manufacturing, transportation, education, information technology, private equity, and venture capital. He advises clients on complex corporate and commercial matters, including acquisitions and divestitures, debt financings and leveraged buy-outs, share transactions, private equity fund formation, and joint ventures. Prasad is highly skilled in drafting and negotiating sophisticated contracts, and regularly counsels on corporate governance, procurement matters, privacy matters and international sanctions compliance. He has particular expertise in multi-jurisdictional and cross-border transactions, representing clients on both the buy and sell side in high-stakes international deals.

Prasad specializes in aviation industry matters, with a focus on commercial transactions and regulatory compliance, and represents leading international air carriers, commercial and private operators and manufacturers on the purchase, financing, and leasing of aircraft and aircraft engines, certification and licensing issues and regulatory proceedings. 

Before joining DLA Piper, Prasad practiced at a top-tier law firm in India in the areas of mergers and acquisitions, foreign direct investments and corporate and commercial law, and has extensive experience in advising clients in relation to investing and doing business in India. 

Prasad is actively involved with the Canadian Bar Association, and is an executive member and past-chair of the National Air ‎and Space Law Section. In addition to participation in the firm’s pro bono programs, Prasad also volunteers as a ‎mentor for internationally trained lawyers through the Calgary Region Immigrant Employment Council and for law students through the Canadian Bar Association.‎

REPRESENTATIVE EXPERIENCE

  • Lead counsel to WillScot Holdings Corporation on multiple share and asset acqusition transactions and advising on corporate and governance matters
  • Lead counsel to a leading North American furniture and office equipment manufacturer on a range of matters including sales of business units, regulatory ‎‎compliance, vendor and customer contracts, software licensing arrangements, government ‎procurement ‎matters and international trade matters
  • Represented Onex Corporation in its $5 billion acquisition of WestJet Airlines Ltd. in respect of aviation ‎regulatory matters, debt financing and creation of security package, third party approvals and corporate ‎matters
  • Lead counsel to international air carriers on Canadian aviation matters, including advice on regulatory compliance, representation in administrative and claims proceedings before Transport Canada and the Canadian Transportation Agency, and advise on commercial matters
  • Lead counsel to the Southern Alberta Institute of Technology on a range of matters, including corporate and commercial matters, procurement, aircraft donations, governance matters, intellectual property and software licensing matters, privacy legislation and real estate matters 
  • Representing the Calgary Board of Education on a range of corporate and commercial matters, transactions, procurement issues and regulatory compliance
  • Representing for Overbay Capital Partners Inc. in connection with mutual fund trust, private equity fund ‎formation and regulatory matters
  • Advised Gestalt Capital on private fund formation and financing
  • Represented the shareholders of Mobiltex Data Ltd., a corrosion monitoring specialist for ‎pipelines and infrastructure, on the sale of shares to XPV Water Partners, a growth equity investor.‎
  • Represented GF Inc., a leading distributor of fasteners, industrial packaging, ‎warehouse supplies and equipment, on a US$66 million sale of business to a US acquirer 
  • Advised Alberta-based private farmland fund on fund formation and financing
  • Acted for DIF Capital Partners in connection with its investment in the 900 MW Cascade Power Project
  • Lead counsel to RT Mosaic on sale to Cardinal Point Capital Management Ltd.‎
  • Represented a major commercial lender in credit, equipment finance and commercial mortgage ‎‎transactions with an aggregate value of $30 million, including the provision of credit facilities to a ‎Metis ‎community for land acquisition
  • Advised Dye & Durham (TSX: DND) on its $1.8B financing in connection with the acquisition of TELUS' Financial Solutions Business
  • Represented Silfab Solar Inc. in relation to a $135 million equity financing 
  • Advised an Alberta based diversified company on the acquisition of a media company with operations in Canada and the United States
  • Advised several Canadian manufacturing and service companies on compliance with the Canadian economic sanctions regime and export control matters
