Brady L. Berg has approximately 30 years of experience representing emerging growth technology companies and venture capital investors, both as a Partner at Am Law 100 law firms and as the General Counsel of a next-generation artificial intelligence (AI) based cybersecurity company that was sold for approximately US$1.5 billion.

He has a passion for helping to build and support technology companies and entrepreneurs that are solving the world's most difficult problems in novel ways.

EXPERIENCE

  • Represented emerging growth technology companies and investors in a variety of industries, including cybersecurity, AI/machine learning (ML), software, autonomous vehicles, robotics, and clean technology
  • Advised management teams, investors, and boards of directors on equity and debt financings, mergers and acquisitions (M&A), corporate governance, strategic agreements, and other general corporate matters
  • Served as the first and only General Counsel for a next generation AI-based cybersecurity software company, from incorporation through the company's US$1.5 billion sale. Helped raise in excess of US$250 million in multiple rounds of venture capital, private equity, and debt financing; led an initial public offering (IPO) process, including drafting and filing an S-1 that cleared Securities and Exchange Commission (SEC) comments; and led a dual-track M&A process, including the negotiation and closing of the company's sale
  • Built and managed a diverse legal department of 14 professionals and managed all outside law firm relationships, collectively responsible for all legal matters, including intellectual property, data privacy, commercial contracts, stock administration, primary and secondary stock sales, employment matters, and board and stockholder governance

Prior Experience

Prior to joining DLA Piper, Brady was a Partner at an Am Law 100 law firm, where he focused on corporate and securities law, including venture capital transactions, public offerings, and M&A with an emphasis on technology start-ups. He also served as General Counsel and Corporate Secretary from 2015 to 2019 at a next-generation AI based cybersecurity software company.

Additionally, Brady was a Partner and Co-Chair of the venture capital and emerging companies practice at another Am Law 100 law firm from 2008 to 2015.
