DLA Piper advises JDA Software on its acquisition of Blue Yonder

DLA Piper has advised leading supply chain software provider JDA Software Inc. on its acquisition of Blue Yonder GmbH.

Founded in 2008 in Karlsruhe, Germany, with early stage backing from anchor investor Otto Group and a growth equity investment from Warburg Pincus, Blue Yonder is one of the leading providers of artificial intelligence (AI) solutions in retail and has assembled one of the largest teams of PhDs/data scientists focused on supply chain and retail merchandising. The company operates in both Europe and the United States. UK supermarket chain Morrisons and e-commerce company The Otto Group are among the leading companies utilizing Blue Yonder’s solutions to deliver differentiated customer experiences and drive operational efficiencies.

The acquisition of Blue Yonder by JDA Software reflects the increasing importance of connecting intelligent data and insights to enable more profitable, Autonomous Supply ChainTM decisions and optimized customer experiences. It builds on JDA’s strategy of developing cognitive and connected solutions to power digital transformations for companies seeking to create a competitive advantage for their supply chains. The acquisition is subject to competition agency approval. The parties have agreed to keep the purchase price confidential.

The DLA Piper core deal team, jointly led by partner Dr Benjamin Parameswaran and counsel Cristina Helena Villafrade, also consisted of associate Sophie von Mandelsloh (all Corporate, Hamburg), counsel Bernd Siebers (IPT, Munich) and counsel Dr Henriette Norda (Employment, Hamburg).

Further support was provided by partner Dr Konrad Rohde and counsel Dr Raimund Behnes (both Tax, Frankfurt), counsel Semin O and associate David Klock (both Competition Law, Frankfurt), counsel Dr Fabian Klein, senior associate Moritz Schönpflug (both IPT, Frankfurt) and associate Fabian Hafenbrädl (IPT, Munich).
