DLA Piper advises Prophecy on its merger with AI software developer Complexica
Global law firm DLA Piper has advised ASX-listed cybersecurity and big data analytics software company Prophecy International Holdings Limited (ASX: PRO) on its all-scrip merger with Complexica Pty Ltd, a leading provider of AI software for supply chain optimisation
Pending shareholder approval, Prophecy has agreed to acquire 100% of the issued shares of Complexica in consideration for the issue of 47.5 million securities to Complexica shareholders and optionholders. Completion is expected in late October 2025.
This transaction combines Prophecy’s strengths in cybersecurity, data integration, analytics and visualisation with Complexica’s AI platforms and decision engines to create an the first of its kind ASX-listed ‘AI pure play’ software company specialising in the development and delivery of AI software.
