Jonathan guides corporations on difficult questions arising in corporate actions and governance. 

Jonathan aims to identify the crucial pressure points for his clients in the execution of a deal or significant problem quickly, simply and candidly.

He advises on all aspects of corporate law with a particular focus on public M&A and equity capital markets.

Jonathan has particular experience advising major South African and international clients in the mining, natural resources, energy and financial services sectors, amongst other sectors.

  • Harmony Gold – on its USD600m acquisition of AngloGold Ashanti’s South African mines and USD100m equity capital raise.*
  • ATON – on its attempted hostile takeover of Murray & Roberts for c. ZAR4.25bn.*
  • Merrill Lynch (BofA) – on its underwriting and joint bookrunning of a potential rights issue by Sasol.*
  • Rio Tinto – on its prospecting and earn-in arrangements in South Africa.*
  • African Rainbow Minerals – on its South African coal transactions with Glencore.*
  • Capital Appreciation – on its specific repurchase and related party transactions for c. ZAR250mn.*
  • We Company – on South African aspects of a potential IPO.*
  • ETG Group – on its sale of a strategic minority stake to Mitsui for c. USD265m.*
