• Advising Bangchak Corporation Plc on its approximately THB60 billion (USD2 Billion) acquisition of majority stake in Esso (Thailand) Plc from ExxonMobil Asia Holdings (in respect to the oil refinery and fuel wholesale business).
• Advising a major Thai energy company on its USD4.1 billion acquisition of a prominent Thai electricity producer from a French multinational energy company and the subsequent delisting tender offer. This is the largest M&A in Thailand’s energy sector. The advice included the acquisition, corporate governance, merger control and obtaining merger clearance from the Energy Regulatory Commission.*
• Advising a major Thai Beverage company on its USD4.83 billion acquisition of 53.59% of a leading Vietnamese brewery in the highest value privatisation in Vietnam.*
• Advising Morgan Stanley Asia Ltd on its investment initiative in a pet healthcare business in Thailand through an investment in greenfield projects.
• Representing the Thai investment arm of Damac Properties (DFM: DAMAC), a prominent conglomerate based in Dubai, in its strategic joint venture with Proen Corp PCL, a leading data centre and cloud service provider in Thailand, listed on the Stock Exchange of Thailand (SET: PROEN) for digital and cloud infrastructure project in Thailand.
• Representing WHA Venture Holding Co., Ltd. an investment vehicle of WHA Corporation Public Company Limited (SET: WHA), in its joint venture with PTT Global Chemical Public Company Limited (SET: PTTGC).
• Advising a Hong Kong-based real estate development company on its expansion into Thailand, involving an acquisition of 40% shares in a landbank company and a greenfield development of a luxury residential and hotel projects in the prime area of the Bangkok city.
• Advising a leading medical technology company based in Sweden on an acquisition of its Thai distributor by way of an asset acquisition.
• Assisting a reputable private equity firm in Thailand in its acquisition of 70% shares in the Thai medical center specializing in visual correction.
• Advising a diversified Thai investment holding company on the joint venture with a notable Thai cryptocurrency and blockchain firm, in a digital asset platform, digital asset management and advisory services businesses.*
• Representing a prominent Hong Kong-based catering and restaurant group in its acquisition of a popular Japanese sushi restaurant chain restaurants in Thailand and became the country’s sole franchisee.*
• Advising a renowned hospitality company (Hong Kong) in the acquisition of a leading luxury villa rental company in Asia – the leading booking and management service provider for luxury residences and villas in Asia Pacific.*
• Advising a leading Thai digital solutions provider in the acquisition of an e-commerce service provider in Thailand and the first e-payment service provider in Thailand.*
• Representing Hiscox on a 100% disposal of Hiscox’s shares in Direct Asia Insurance (Holdings) Pte Ltd in exchange for Series B shares in Ignite Thailand Holding Limited, a Singapore investment company which owns Roojai, the operator of an insuretech company offering online insurance brokerage and four other Thai target companies.
