Raul Farias has substantial experience representing domestic and international project developers, sponsors, financial institutions, investment funds and others in project development, M&A, finance and other related matters in the United States and internationally. 

He a significant emphasis on the Energy, Infrastructure and Financial Sectors, including renewable energy (dealing with a wide variety of technologies), energy transition and storage, purchase and sale of tax credits (ITCs and PTCs) and oil and gas. His clients have also relied on his counsel for other corporate matters and bet the company transactions, including the purchase and sale of assets, financings, loan restructurings, debtor-in-possession financings, distressed M&A transactions and other related matters.

He has served on the board of publicly listed companies, published articles on a variety of legal topics and participated as a panelist at legal forums dealing with energy transition and the purchase and sale of tax credits. He is experienced with corporate governance matters for private and publicly listed companies in the United States and internationally and has constant dealings and interactions with C-suite executives across multiple jurisdictions.

  • Advised a Publicly Listed Company on the acquisition and tax equity financing of multiple wind and solar assets in multiple locations in the United States
  • Advised multiple buyers and sellers on the purchase and sale of tax credits (ITCs and PTCs) in excess of $1 billion during calendar year 2023, including the first largest publicly disclosed transaction dealing with Section 45X credits.
  • Advised a Publicly Listed Company on the contracting of capacity for gas assets in California
  • Advised a Private Equity Fund in the $700 million refinancing of debt for a company portfolio with emphasis on the Infrastructure Sector
  • Advised a Developer on all aspects of development and financing of the largest biorefinery in the World
  • Advised a Sponsor on all aspects of several cross-border RNG projects in the United States and Mexico
  • Advised a Canadian Fund on the acquisition and development of multiple RNG projects in California
  • Advised a Canadian Fund on multiple feedstock supply agreements for biomass and land leases in the United States
