Katarzyna Paruk has more than 15 years of experience in advising on corporate law and commercial law.

She supports clients from a wide variety of sectors (eg technology, industrial, energy and natural resources, financial services, real estate, and investment funds) in mergers and acquisitions, private equity transactions, and corporate reorganisations and restructurings, as well as providing general day-to-day corporate advice. She has successfully managed numerous complex transactional processes involving share and asset deals, including the sale of businesses and going concerns, mergers and demergers, and the transformation of companies.

EXPERIENCE

  • Advising Polish Enterprise Fund VIII, managed by Enterprise Investors, in the acquisition of an 85% majority stake in Focus Garden sp. z o.o., one of the most popular e-commerce platforms dedicated to garden furniture and accessories in Poland.
  • Advising METKA EGN on its planned acquisition of several PV projects located in Poland, including due diligence encompassing environmental, zoning, and real-estate issues, preparation of the transaction documentation, and analysis of the required qualifications (licences/permits/certificates, etc) of the personnel of the company building the PV projects.
  • Advising Life Healthcare on its disposal of 100% of the shares in Scanmed.
  • Advising Kelly Services on the sale of its European Staffing Business to Gi Group Holdings.
  • Advising Ipsen Poland on the acquisition of a portfolio of assets, which involved advising on corporate, regulatory, IPT and tax matters.
  • Advising Hubert Burda Media on the employment aspects of its acquisition of Cocolita.pl, an e commerce platform offering a comprehensive array of beauty products. The work included preparing contracts with top management and new non-compete agreements.
  • Advising Glovoapp23, the owner of one of Europe’s leading order and delivery apps, on the acquisition of 100% of the shares in Restaurant Partner Polska sp. z.o.o, a leading Polish online food ordering and delivery platform.
  • Advising Dentsu Group on the acquisition of Tag Worldwide, a global omnichannel digital marketing production business, from Advent International in a competitive auction process. DLA Piper teams in 23 jurisdictions and external firms in 11 jurisdictions across Europe, the Americas, Asia and Australasia were involved in this transaction.
  • Advising Centerbridge Partners on the Polish aspects of taking control over Global Parks Poland and selected Polish affiliates, providing strategic advice on structuring, corporate and financing aspects, merger clearance and implementation.
  • Advising Affidea on the acquisition of 100% of the shares in Zakład Patomorfologii Alfamed, a pathology and molecular diagnostics centre providing advanced histopathology, cytology and genetic testing services.
  • Advising a regional professional service firm on syndicate agreements with their Polish affiliate.
