DLA Piper advises on USD500 million acquisition

Global law firm DLA Piper has advised Stantec Inc. (TSX, NYSE: STN), a global leader in sustainable design and engineering, on the acquisition of the North America and Asia Pacific engineering and consulting groups of Cardno Limited (ASX: CDD) for aggregate cash consideration of USD500 million (approximately AUD 667 million). The transaction has now completed.

“We were delighted to assist Stantec on the acquisition of these strategically complementary businesses from Cardno, which further cement Stantec’s position as a leader in sustainable design and engineering. The transaction nearly doubles Stantec’s footprint in Australia to 2,500 professionals and meaningfully increases its footprint in the United States to over 10,500 employees, further expanding Stantec’s presence in regions and sectors that align with its growth objectives” said Grant Koch, Head of Corporate Australia, DLA Piper.

“We’ve seen significant interest in Australian assets from both local and foreign investors this year. As a global law firm we are well-placed to assist clients on strategic, complex, cross-border acquisitions, and this transaction was a great example of our ability to provide a seamless full service offering across multiple jurisdictions” Grant said.

Grant, assisted by Solicitors Jake Thornton and Julia Krapeshlis, led a cross-border team comprising more than 40 lawyers across Australia, Canada, the United States and New Zealand, including Partners James Stewart, Nicholas Boyle, Nicholas Turner, Jeff Baglio, Jennifer Kashatus, Robert Seidel, Catherine Pawluch and Martin Thomson; Of Counsel Nicholas Klein and Angeline Chen; Special Counsel Roger Hawkins; Senior Associates Alexandra Dagger, Clancy King and Pavanie Edirisuriya; and Solicitors Andrew Booth, Alexandria Cates, Hugh Raisin, Mariam Jaber and Sean Zubick.
