Andrés Fernández Vargas is an associate in the Finance practice in Mexico City. He advises lenders, borrowers, and institutional investors on a broad range of financing transactions, including syndicated loans, structured credit facilities, and capital markets offerings. His work includes drafting and negotiating financing agreements, conducting legal due diligence, preparing regulatory risk assessments, and structuring trust and security arrangements.

In addition to his finance work, Andrés has experience in mergers and acquisitions and regularly supports transactional matters involving energy and infrastructure assets. He has participated in the negotiation of share purchase agreements, power purchase agreements, EPC and O&M contracts, and other project-related documents. His transactional background includes advising on the acquisition and financing of natural gas pipelines, power plants, and public infrastructure projects.

EXPERIENCE

  • Advised a leading Mexican bank and a development institution in two syndicated credit facilities totaling over MXN $7 billion. The financing supported the construction, rehabilitation, and long-term operation of toll roads and bridges in western Mexico, enabling regional connectivity and private-sector participation in public infrastructure
  • Advised the lenders of a MXN $2.3 billion credit facility granted to a project trust for the development of federal and state cargo infrastructure. The transaction involved complex structuring to support construction, operation, and maintenance of a bypass critical to freight logistics in central Mexico
  • Advised the sellers in the divestiture of a holding company owning six special purpose vehicles operating five natural gas power plants and one pipeline. The transaction required multi-asset coordination and regulatory analysis across several jurisdictions
  • Advised the underwriters in a US$530 million senior secured notes issuance. The offering supported refinancing and expansion of energy assets and required alignment with both U.S. and Mexican securities regulations
  • Advised a state-owned utility in its equity subscription and partnership structuring for multiple natural gas pipelines. Also supported the development of a US$4.8 billion marine pipeline project spanning over 700 kilometers, designed to enhance national energy supply and interconnection
  • Advised an energy company in preparing and filing its merger notification with COFECE during a cross-border consolidation. Also assisted a global financial institution in trial proceedings related to alleged cartel practices, involving procedural strategy and regulatory engagement

Prior Experience

Prior to joining DLA Piper, Andrés worked at leading law firms in Mexico City, where he contributed to transactions in finance, energy, infrastructure and antitrust. He also worked with a digital banking startup within a major financial group, supporting its regulatory filings, internal governance, and authorization process before the CNBV.
